Terms & Conditions

These Terms and Conditions govern your engagement with mynexadra and the services we provide. By requesting, purchasing, or using any of our services, you acknowledge that you have read, understood, and agreed to these terms in full.

We have written these terms in plain language where possible. If any section is unclear, please contact us before proceeding — we are always glad to clarify.

1. Definitions

For the purposes of these Terms and Conditions, the following terms carry the meanings described below:

  • "mynexadra" / "We" / "Us" / "Our" — refers to mynexadra, a company registered and operating in Malaysia, with its principal place of business at 31 Jalan Imbi, 55100 Kuala Lumpur.
  • "Client" / "You" / "Your" — refers to any individual, business, or organisation that engages mynexadra for services.
  • "Services" — refers to the AI consulting, development, and audit services offered by mynexadra as described in our proposal documents and on our website.
  • "Agreement" — refers collectively to these Terms and Conditions, any project proposal accepted by both parties, and any related written correspondence.
  • "Deliverables" — refers to documents, reports, code, models, or other outputs produced by mynexadra in the course of providing Services.
  • "Confidential Information" — refers to proprietary data, business information, technical data, and any other information disclosed by either party in connection with the engagement.

2. Acceptance of Terms

By submitting an inquiry, signing a proposal, or making a payment to mynexadra, you confirm that:

  • You are at least 18 years of age and legally capable of entering into a binding agreement.
  • If acting on behalf of a company or organisation, you have the authority to bind that entity to these terms.
  • You have read, understood, and agree to be bound by these Terms and Conditions in their entirety.

If you do not agree with any portion of these terms, you should not proceed with engaging mynexadra for services.

3. Service Description

mynexadra provides applied artificial intelligence services to organisations seeking to integrate or improve AI-driven capabilities within their operations. Our current service offerings include:

  • Conversational AI Audit — a structured review of existing chatbot or virtual assistant implementations, identifying gaps and producing a prioritised improvement plan over a 3-week engagement.
  • Computer Vision Pipeline — end-to-end development of image or video analysis systems including data annotation, model training, and API deployment, spanning 12 weeks.
  • Personalisation Engine — development of adaptive recommendation or content-targeting systems based on user behaviour, delivered over 8 weeks including post-launch optimisation.

The precise scope of each engagement is defined in a written proposal accepted by both parties prior to commencement. We reserve the right to update or adjust our service catalogue over time.

Service Availability

Services are available to clients based in Malaysia and internationally, subject to feasibility assessment at the time of inquiry. mynexadra does not guarantee availability for all markets or use cases.

4. Engagement & Scope

Each engagement begins with a written proposal that outlines the scope of work, deliverables, timeline, and fees. The engagement is considered confirmed once the Client has provided written acceptance and made the agreed deposit payment.

Scope Changes

Any modification to the agreed scope — including additions to deliverables, changes in timeline, or requests for additional analyses — must be agreed upon in writing and may be subject to revised fees and adjusted timelines. mynexadra will provide a written change request prior to proceeding with out-of-scope work.

Timeline Expectations

The durations stated in our service descriptions reflect typical engagement lengths under normal conditions. Actual timelines may vary depending on client responsiveness, data availability, and the complexity of the specific use case. mynexadra will communicate proactively if delays arise.

5. Client Responsibilities

The quality and timeliness of our work depends significantly on your participation. As a Client, you agree to:

  • Provide access to relevant systems, data, documentation, and personnel as reasonably required by mynexadra to perform the Services.
  • Designate a primary point of contact who can respond to questions and provide feedback within agreed timelines.
  • Ensure that any data or materials provided to mynexadra are owned by you or you have the right to share them, and that their use by mynexadra will not infringe any third-party rights.
  • Notify mynexadra promptly of any changes to your requirements, business context, or technical environment that may affect the engagement.
  • Not use mynexadra's deliverables in ways that violate applicable law or harm third parties.

Prohibited Activities

Clients must not engage mynexadra to build systems intended for:

  • Surveillance or profiling of individuals without their lawful consent.
  • Generating misleading, fraudulent, or harmful content at scale.
  • Any purpose that violates Malaysian law or applicable international regulations.

mynexadra reserves the right to decline or terminate an engagement if it becomes aware that the intended use falls outside these boundaries.

6. Intellectual Property

Ownership of Deliverables

Upon receipt of full payment for an engagement, mynexadra assigns to the Client all rights to the specific custom deliverables produced for that engagement, including reports, trained models, and bespoke code written exclusively for the project.

mynexadra's Retained Rights

mynexadra retains ownership of all pre-existing intellectual property, including internal frameworks, general methodologies, reusable tooling, and proprietary processes used in delivering the Services. Where such pre-existing materials are incorporated into deliverables, mynexadra grants the Client a non-exclusive, perpetual licence to use them solely in connection with the delivered project.

Restrictions

Clients may not resell, sublicense, or represent mynexadra's deliverables as independently developed without prior written consent. Academic or public citations of mynexadra's work should include appropriate attribution.

7. Payment Terms

Pricing & Currency

All fees are quoted and invoiced in Malaysian Ringgit (RM) unless otherwise agreed. Applicable taxes, including any Sales and Service Tax (SST) where required, will be stated clearly on invoices.

Payment Schedule

The standard payment structure is as follows, unless a different arrangement is agreed in writing:

  • 50% deposit upon engagement confirmation.
  • Remaining 50% upon delivery of final deliverables.

For longer engagements, milestone-based payment schedules may be proposed and agreed in the project proposal.

Late Payments

Invoices are due within 14 days of issuance. If payment is not received within this period, mynexadra reserves the right to pause work until the outstanding balance is settled. Persistent non-payment may result in engagement termination under Section 12.

Refund Policy

Deposits are non-refundable once work has commenced. If mynexadra is unable to proceed with the agreed engagement due to circumstances within mynexadra's control, a proportionate refund will be offered based on work completed.

8. Confidentiality

Both parties acknowledge that they may receive Confidential Information in the course of the engagement. Each party agrees to:

  • Hold the other party's Confidential Information in strict confidence.
  • Not disclose it to any third party without prior written consent, except as required by law.
  • Use it solely for the purpose of fulfilling obligations under the engagement.

Confidentiality obligations survive the conclusion or termination of the engagement for a period of three (3) years. Information that is publicly available, independently developed, or disclosed through no fault of the receiving party is not considered Confidential Information.

9. Disclaimers

mynexadra's services are provided on a professional best-efforts basis. We do not make any representation that:

  • AI models or systems developed will achieve any specific accuracy, performance, or business outcome.
  • Deliverables will be free of defects or errors under all conditions.
  • Recommendations provided will produce particular commercial results in the Client's specific environment.

AI development involves inherent uncertainty, and outputs depend substantially on the quality, completeness, and representativeness of the data provided. mynexadra works diligently to produce well-considered results, but cannot warrant specific outcomes.

Our services do not constitute legal, financial, medical, or regulatory advice. Where relevant, we recommend that Clients seek specialist professional guidance in those areas.

10. Limitation of Liability

To the fullest extent permitted by Malaysian law, mynexadra's total liability to the Client for any claim arising from or related to the Services shall not exceed the total fees paid by the Client for the specific engagement giving rise to the claim.

mynexadra shall not be liable for any indirect, consequential, incidental, or punitive damages, including but not limited to loss of revenue, loss of data, business interruption, or reputational harm, even if mynexadra has been advised of the possibility of such damages.

These limitations apply regardless of the form of the claim, whether in contract, tort, or otherwise.

11. Indemnification

You agree to indemnify, defend, and hold harmless mynexadra and its personnel from and against any claims, damages, losses, or expenses (including reasonable legal fees) arising out of:

  • Your use of the deliverables in a manner not contemplated by these terms.
  • Your breach of any representation, obligation, or warranty under this Agreement.
  • Any infringement of third-party rights resulting from data or materials you provided to mynexadra.

12. Termination

Termination by Client

You may terminate an engagement by providing 14 days' written notice. In such cases, you will be invoiced for all work completed to the date of termination. The non-refundable deposit will be retained, and any balance due for completed work will be payable within 14 days of the final invoice.

Termination by mynexadra

mynexadra may terminate an engagement with written notice if:

  • Payment obligations are not met within 30 days of their due date.
  • The Client requests work that would violate applicable law or these terms.
  • Continued engagement becomes infeasible due to lack of cooperation or access.

Effect of Termination

Upon termination, each party shall return or destroy the other's Confidential Information as requested. Rights and obligations that by their nature should survive termination — including payment obligations, confidentiality, and intellectual property provisions — shall remain in effect.

13. Dispute Resolution

Informal Resolution

If a dispute arises, both parties agree to first attempt informal resolution through direct written communication. We ask that you raise any concern with us at [email protected] and allow 14 working days for us to respond before escalating.

Governing Law

These Terms and Conditions are governed by the laws of Malaysia. Both parties submit to the exclusive jurisdiction of the courts of Malaysia for any dispute that cannot be resolved informally.

Mediation

Where informal resolution is unsuccessful, the parties may agree to refer the matter to a mutually agreed mediator before initiating court proceedings.

14. General Provisions

Entire Agreement

These Terms and Conditions, together with any accepted proposal and written correspondence, constitute the entire agreement between the parties and supersede all prior understandings on the subject matter.

Severability

If any provision of these terms is found to be unenforceable, the remaining provisions continue in full force and effect.

Waiver

Failure by either party to enforce any right under these terms does not constitute a waiver of that right.

Assignment

The Client may not transfer or assign their obligations under this Agreement without mynexadra's prior written consent. mynexadra may engage subcontractors or specialists to assist in delivery, subject to equivalent confidentiality obligations.

Notices

All formal notices under this Agreement should be sent by email with delivery confirmation or by registered post to the addresses provided at the time of engagement.

15. Changes to These Terms

mynexadra may update these Terms and Conditions from time to time to reflect changes in our services, legal requirements, or operational practices. Updated terms will be published on our website with a revised "Last Updated" date.

For ongoing engagements, material changes will be communicated by email. Continued use of our services following notification of changes constitutes acceptance of the revised terms.
